Put It Forward Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Put It Forward website(s) hosted at putitforward.com (the "Sites") and provide general information about the Put It Forward decision intelligence and automation platform, including its data science, analytics, integration, and data-connectivity capabilities (the "Platform"). Please read these Terms carefully.
These Terms do not govern your use of the Platform. If you or your organization is a customer of Put It Forward, your access to and use of the Platform is governed exclusively by the Master Services and Software Agreement executed between your organization and Put It Forward (the "MSSA"), together with any applicable order form, statement of work, or subscription document executed under the MSSA (each, an "Order"). In the event of any conflict between these Terms and the MSSA or an Order, the MSSA and Order will control with respect to your use of the Platform.
By accessing or browsing the Sites, you agree to be bound by these Terms and by the Put It Forward Privacy Policy, which are collectively referred to as the "Agreement." If you do not agree to these Terms, you have no right to access or use the Sites. If you are a customer accessing the Platform, your rights and obligations are governed by your MSSA and Order, not by these Terms, except with respect to your use of the Sites themselves (for example, browsing marketing pages, submitting a contact form, or accessing publicly available resources).
Put It Forward may revise these Terms and the Privacy Policy from time to time. Each revision will be marked with a revision date and posted on the Sites. Put It Forward recommends that you review this page from time to time to note any changes. By continuing to access or use the Sites, you agree to be bound by the Terms and Privacy Policy in effect at the time of such access or use.
1. Scope of These Terms
These Terms apply only to your use of the Sites - including browsing public pages, submitting website forms, and accessing publicly available content and resources. These Terms do not create any right to access the Platform, and do not modify, supersede, or serve as a substitute for the MSSA or any Order.
If you are seeking to become a customer, access to the Platform, including any decision intelligence, data science, automation, or integration functionality, is available only through execution of an MSSA and a corresponding Order with Put It Forward. Contact us at

2. Use of the Sites
You agree to use the Sites only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Sites in any way that violates applicable law or regulation;
- Attempt to gain unauthorized access to any non-public area of the Sites or Put It Forward's computer systems;
- Attempt to probe, scan, or test the vulnerability of the Sites, or breach any security or authentication measures used in connection with the Sites;
- Introduce any virus, malware, or other harmful code, or interfere with the proper functioning of the Sites;
- Scrape, harvest, or collect information from the Sites using automated means without Put It Forward's prior written consent;
- Impersonate or misrepresent your affiliation with any person or entity;
- Submit any content through a website form that is unlawful, defamatory, infringing, or that you do not have the right to submit.
Put It Forward reserves the right to investigate and take appropriate action against anyone who violates this section, including removing content, suspending access to the Sites, and involving law enforcement where appropriate.
3. Website Forms and Inquiries
If you submit a contact form, request for information, event registration, or similar inquiry through the Sites, the personal information you provide is collected and used as described in the Privacy Policy. Submitting a website inquiry does not create a customer relationship, an MSSA, an Order, or any right to access the Platform.
4. Intellectual Property
All content on the Sites, including text, graphics, logos, and the Put It Forward name and marks, is owned by Put It Forward or its licensors and is protected by copyright, trademark, and other intellectual property laws of the United States and other countries. Except as necessary to view and use the Sites for their intended informational purpose, you may not reproduce, modify, distribute, sell, transfer, publicly display, publicly perform, or create derivative works from any content on the Sites without Put It Forward's prior written consent.
Put It Forward, the Put It Forward logo, and other Put It Forward trademarks, service marks, and trade names appearing on the Sites are owned by Put It Forward. All other trademarks, service marks, product names, and logos appearing on the Sites are the property of their respective owners.
5. Third-Party Links
The Sites may contain links to third-party websites or resources. Put It Forward is not responsible or liable for the availability, accuracy, or content of any third-party website, and a link does not imply endorsement by Put It Forward. You access any linked third-party website at your own risk.
6. Disclaimer of Warranties
THE SITES ARE PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, PUT IT FORWARD EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT WITH RESPECT TO THE SITES.
Put It Forward does not warrant that the Sites will be uninterrupted, secure, or error-free. Your use of the Sites is at your own risk. This disclaimer applies only to the Sites; warranties, if any, applicable to the Platform are set forth exclusively in your MSSA and Order.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PUT IT FORWARD BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF PUT IT FORWARD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
This limitation applies only to your use of the Sites. Liability terms applicable to your use of the Platform are governed exclusively by your MSSA and Order.
8. Indemnification
You agree to defend, indemnify, and hold harmless Put It Forward, its officers, directors, affiliates, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected with your misuse of the Sites or your violation of these Terms.
9. Governing Law and Venue
Put It Forward, Inc. is a corporation organized under the laws of the State of Delaware, with its principal place of business at 3300 N IH 35, 7th Floor, Austin, Texas 78705, USA.
THESE TERMS AND YOUR USE OF THE SITES WILL BE GOVERNED BY THE LAWS OF THE STATE OF DELAWARE, EXCLUDING ITS CONFLICT-OF-LAWS PRINCIPLES. ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITES MUST BE LITIGATED EXCLUSIVELY IN THE STATE OR FEDERAL COURTS LOCATED IN THE STATE OF DELAWARE, AND BOTH PARTIES CONSENT TO VENUE AND PERSONAL JURISDICTION THERE.
[If your MSSA specifies different governing law or venue for the Platform relationship, that MSSA provision controls for Platform-related disputes; these Terms govern Sites-only disputes.]
10. Relationship to the MSSA
These Terms and the MSSA are separate, freestanding agreements that serve different purposes:
- These Terms govern your use of the Sites as a visitor, prospect, or member of the public.
- The MSSA and any Order govern your organization's access to and use of the Platform as a customer, including scope of services, data science and decision intelligence functionality, integrations, fees, term, data ownership and processing, warranties, liability, and termination.
Execution of an MSSA does not amend, supersede, or incorporate these Terms unless the MSSA expressly states otherwise, and use of the Sites does not amend, supersede, or incorporate the MSSA unless the MSSA expressly states otherwise. Customers should refer to their MSSA and Order as the controlling documents for their use of the Platform.
11. General
These Terms constitute the entire agreement between you and Put It Forward regarding your use of the Sites, and supersede any prior agreements regarding the Sites. These Terms do not affect, and are not affected by, any MSSA or Order in place between Put It Forward and your organization.
You may not assign any rights granted to you under these Terms without Put It Forward's prior written consent. Put It Forward may freely assign these Terms without restriction. Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and Put It Forward. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Put It Forward's failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. Headings are for convenience only and do not affect interpretation.
